This Agreement is between Photoelectric Solar System Pvt Ltd, CIN:U29248KA2015PTC084207 , registered office Plot No 124, Vaishnavi Colony, Shiv Nagar North, Bidar-585401, Karnataka, legal notice email sales@photoelectric.in (Company), and the individual or legal entity identified in the submitted registration and accepted commercial summary (Partner). A sole proprietorship, Partnership, LLP etc must identify its proprietor and trading name. The person accepting must be at least 18 years old, competent to contract and authorised to bind the named Partner.
By selecting the acceptance box and clicking “Accept Agreement and Submit Registration”, the applicant submits its acceptance of this identified agreement version and the displayed commercial summary. The Agreement takes effect only when the Company approves registration and sends an activation confirmation, without changing the accepted terms. A submission acknowledgement alone is not approval. Company is not obliged to activate an application; material changes require fresh express acceptance. No work or commission-bearing activity is authorised before activation unless separately agreed.
Appointment is nonexclusive, limited to the approved categories and territory in the commercial summary. Categories may include electrician, consultant, equipment seller, restaurant, hotel, cab aggregator or other approved associate. Partner may introduce prospective customers and promote approved Company offerings using approved materials. Appointment gives no shares, partnership interest, employment, franchise, general agency, guaranteed income, minimum business or exclusivity.
Partner cannot bind Company, sign Company quotations or customer contracts, grant discounts, appoint subagents, collect customer payments, or promise approvals, subsidy, savings, returns, generation or warranties without specific written authority. Customers shall pay the account stated in Company invoices. Company controls its own quotations, technical feasibility, pricing, customer acceptance and performance commitments. Partner remains responsible for its own representations and services; Company remains responsible for its own contractual and statutory duties.
Submit each lead through the agreed channel with customer identity, location, opportunity, lawful contact details and permission to introduce. Company will accept or reject within five business days with a lead reference and relevant reason; silence is not acceptance. Existing active opportunities, duplicates and leads without lawful contact permission may be rejected using available records. First documented accepted introduction governs; shared credit requires express agreement.
An accepted lead is protected for 90 days unless the accepted commercial summary specifies otherwise. Company may deal directly with the customer but shall not deliberately route the transaction through another person to defeat an earned commission. Partner shall not misuse confidential proposals to divert an agreed transaction. These duties do not impose a general noncompete or restrict lawful independent customer choice. Repeat business is eligible only if expressly agreed.
The displayed commercial summary must state the selected fee method, rate, eligible scope, payment trigger and tax treatment. No blank, illustrative or subsequently announced rate binds Partner. If rates are deferred, the summary must expressly state “No commission agreed; a separate fee confirmation accepted by both parties is required before a commission-bearing introduction.” No fee is earned merely by registration, enquiry, site visit or quotation.
Unless the accepted summary states otherwise, commission accrues proportionately when an eligible customer contract is concluded during lead protection and Company receives the corresponding qualifying payment. Percentage commission is calculated on eligible revenue actually received and retained, excluding GST and other indirect taxes, refunds, credits, discounts, financing charges, subsidy and separately stated statutory pass-through charges. Equipment and installation costs are not deducted unless an express margin formula was accepted. Supported customer TDS credit counts as received.
Company shall provide monthly calculations and pay undisputed accrued commission within 30 calendar days after the later of month end or receipt of a valid Partner invoice, subject to mandatory law. GST applies against a valid invoice where required; lawful TDS may be deducted and certificates provided. No joining fee or deposit applies unless expressly disclosed and accepted. Each party bears its own operating costs unless reimbursement was preapproved.
Only commission attributable to an actual customer refund or reversal may be proportionately adjusted, with evidence and 15 days to respond. Disputes do not delay unrelated undisputed payments; setoff is limited to admitted or finally determined amounts. Administrative statement queries do not shorten statutory limitation periods. Statutory MSME payment, interest and Facilitation Council rights prevail wherever applicable. Customer default does not defer payment for separately ordered goods or services.
Registration alone authorises no installation, design, certification, procurement or hospitality or transport service. A separately accepted order must identify the purchaser, provider, scope, specifications, price, taxes, payment, delivery, acceptance tests, licences, insurance, safety duties, warranty and defect correction. Where the customer directly engages Partner, Company is not the purchaser or guarantor unless it expressly agrees. Changes require express approval; mandatory formalities remain applicable.
Electricians must hold required licences and use competent personnel, approved materials, isolation procedures, PPE, fall protection, testing and site authorisations. Stop unsafe work; no unauthorised live work, energisation or grid connection. Consultants must exercise reasonable professional skill and care and disclose material assumptions and conflicts. Equipment suppliers must provide genuine conforming goods, lawful title, required certifications and warranty documents. Workmanship, delivery, title, risk, test records and response periods must be fixed in the relevant order.
Hotels, restaurants and cab aggregators etc acting as referral associates must not reuse guest, passenger or dining databases without a lawful basis and required notice or permission. Any actual food, lodging or transport supply requires a separate order and applicable licences and insurance. Displays and promotions require permission, must not obstruct exits, and must not distract drivers.
Each party shall comply with applicable laws and maintain required registrations. Partner shall disclose procurement or professional conflicts, give required commission disclosures, and refrain from bribery, false claims, forged documents, misleading marketing and unlawful customer contact. Fees prohibited by law, professional rules or customer procurement terms are not payable.
Each party shall protect nonpublic customer, pricing, design and business information, use it only for this relationship and disclose it only to authorised persons bound by equivalent duties. Lawfully public, independently developed or lawfully obtained information is excluded. Compelled disclosure is limited to what law requires, with prior notice where lawful. Confidentiality continues for three years after termination and for trade secrets while legally confidential. Company marks remain its property; limited approved use ends on termination. Each party retains its pre-existing intellectual property; project deliverable ownership and licences must be stated in the order.
Each party shall comply with applicable Indian privacy, cybersecurity and data protection provisions as they come into force, use only necessary data, provide required notices, maintain lawful collection and sharing grounds, and safeguard access. Partner shall not submit bulk scraped lists or use customer information for unrelated purposes. Relevant security incidents must be notified to the other party without undue delay and within 24 hours of discovery; statutory notification deadlines prevail. Return or securely delete information when no longer needed, subject to lawful retention. Material processing on the other party’s behalf requires a separate data processing arrangement.
Company will use registration and acceptance information for onboarding, verification, performance, payment, compliance and dispute handling, as explained in the Privacy Notice [insert actual link and privacy contact]. Optional marketing requires a separate choice where consent is relied upon. Contract acceptance is not blanket consent to unrelated processing. Legal notices go to the Company notice address above and Partner’s registered email or address. Send by acknowledged email or trackable delivery; statutory service rules prevail. Keep contact details current.
Each party is responsible for loss caused by its breach, negligence, fraud or unlawful acts, subject to applicable law. Each shall indemnify the other against third-party claims and reasonable defence costs to the extent caused by its fraud, wilful misconduct, negligent injury or property damage, infringement by its supplied materials, confidentiality or data breach, or legal violation. Partner additionally covers unauthorised representations, collections and its personnel obligations. No indemnity covers the other party’s own attributable fault. Give prompt notice, mitigate, permit reasonable defence participation, and obtain consent before a settlement imposes admissions or nonmonetary duties on the other party.
Except for the exclusions below, each party’s aggregate liability is capped at the higher of INR 3,00,000 and amounts paid or payable between the parties during the 12 months before the event. Indirect or consequential loss and anticipated profits are excluded. These limitations do not cover fraud, wilful misconduct, negligent death or injury, misappropriated funds, confidentiality or data breach, intellectual property infringement, third-party indemnities or nonlimitable liabilities. Agreed prices, earned commission and lawful refunds remain payable. Earned commission is a direct obligation. No arbitrary penalty applies.
The term is 12 months from activation unless the accepted summary states otherwise. Renewal requires express agreement. Either party may terminate on 30 days written notice. A material remediable breach allows termination after 15 days notice without cure; fraud, bribery, serious safety misconduct or an incurable material breach permits immediate termination. Company may suspend affected activity for a credible safety or compliance risk, notify reasons and review promptly. Suspension does not cancel accrued fees.
Accepted leads in active documented negotiation at termination retain eligibility if the same customer opportunity contracts within 180 days after termination; qualifying later receipts remain payable. Cease new representations, remove branding, return property and safely hand over ongoing work. Separate orders continue unless lawfully terminated. Accrued payment, confidentiality, data protection, liability and dispute terms survive as needed. Revisions apply only after fresh express acceptance and cannot retrospectively reduce earned fees. Website publication or continued browsing alone is not acceptance of a revised agreement.
Indian law governs. Parties shall attempt resolution through senior representatives for 30 days, without preventing urgent relief or timely proceedings. Unresolved arbitrable disputes go to a sole independent arbitrator jointly appointed within 30 days of request, failing which appointment may be sought under section 11 of the Arbitration and Conciliation Act, 1996. Neither party appoints unilaterally. The seat is Mumbai, Maharashtra; language is English. Competent courts at the seat supervise arbitration, and enforcement may be sought where lawful. Mandatory MSME, consumer and other statutory remedies are preserved.
This Agreement and the specific accepted commercial summary constitute the online appointment. A pre-existing signed agreement is not displaced unless an express replacement accepted by both parties identifies it. Mandatory law prevails. No assignment without the other party’s written consent; an invalid provision is severed to the extent possible. No delay waives rights. Electronic acceptance does not waive stamp duty or any legally required signature, registration or execution formality. No general power of attorney is conferred.
